Xinja Series D raise now open to ‘sophisticated ‘ investors

Xinja Series D raise now open to ‘sophisticated ‘ investors

Xinja has decided to once again open up our capital raising to a wider range of investors. As part of building a bank with our customers, we have run 2 equity crowdfunding rounds (including the first one ever in Australia) so that they had a chance to share in any upside. We would have liked to have done another equity crowdfunding round this time, however regulations prevent us from doing so (having more than $25m in assets means we are no longer eligible). Therefore the offer this time is only open to ‘sophisticated’ or ‘wholesale’ investors (as defined by ASIC).

What is a ‘sophisticated’ or ‘wholesale investor’ ?

This is a term defined by ASIC (Australian Securities and Investments Commission) and the Corporations Act as a person who has:

– a gross income of $250,000 or more per annum in each of the previous two years or

– net assets of at least $2.5 million or

– is investing in excess of $500,000 or

– holds an AFSL or

– has more than $10m in assets

What is the minimum investment?

The minimum investment parcel is $20,400 for 5,000 shares at $4.08 per share.

What if I’m not a ‘sophisticated investor’ but want to invest ?

We realise many Xinja customers won’t fall into this category and we did recommend, as part of our recent submission to the Senate Select Committee on Financial Technology and Regulatory Technology (#135), that the asset restriction on companies offering Equity Crowdfunding (which is open to all) be lifted. If this should happen, we plan to do another ECF raise and will let all Xinja customers know as soon as we do.
